1. Introduction and Agreement to Terms

These Terms of Use ("Terms") constitute a binding agreement between you ("User") and Veyronix Technology Private Limited hereby referred to as “Genixpay” ("Genixpay", "we", or "our") governing your access to and use of all services, tools, platforms, applications, websites, APIs, and related offerings provided by Genixpay. By accessing or using any part of the Genixpay platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, including any additional guidelines, rules, policies, or terms referenced herein or otherwise made available by Genixpay. Continued usage of our services implies your acceptance of these conditions in full.

2. Eligibility, Registration and KYC

To use Genixpay services, you must be at least 18 years of age and possess the legal capacity to enter into contracts. You agree to provide accurate, current, and complete registration information and maintain the security of your login credentials. Genixpay reserves the right to suspend or terminate access in case of false or misleading information. Additionally, as per regulatory requirements, Know Your Customer (KYC) documentation is mandatory for all users. Failure to provide adequate and verified KYC may result in restricted access or withheld settlements.

3. Description of Services

Genixpay offers a range of utility and financial services including but not limited to Aadhaar Enabled Payment System (AEPS), Domestic Money Transfer (DMT), Bharat Bill Payment System (BBPS), PAN Card services, Micro ATM (MATM) solutions, and identity verification APIs. The platform may facilitate financial transactions, settlements, and reporting in connection with these services. However, Genixpay operates as a technology service provider and not as a financial institution. All services are provided on a best-effort basis and subject to availability and uptime commitments outlined in specific service-level documents.

4. Charges, Settlement and Invoicing

You agree to pay the applicable transaction fees, service charges, and other dues as notified by Genixpay from time to time. These may include one-time onboarding fees, recurring platform fees, transaction discount rates (TDR), and penalties for chargebacks or regulatory breaches. Settlements are processed to the user’s registered bank account within timelines defined in the platform’s operating terms. Any delay due to bank holidays, intermediary failures, or reconciliation issues shall not be held against Genixpay, provided that it has acted in accordance with standard banking practices.

5. User Obligations and Conduct

Users must not use the services for any unlawful purpose or in violation of any applicable laws and regulations. This includes but is not limited to, the processing of transactions linked to prohibited goods, impersonation, dissemination of offensive content, breach of third-party intellectual property rights, use of bots or crawlers, or any activity that may interfere with or disrupt the functioning of the services. Users are solely responsible for any legal consequences arising from the misuse of Genixpay’s services or breach of these Terms.

6.Chargebacks, Refunds and Disputes

Chargebacks may occur for various reasons including product disputes, duplicate transactions, or unauthorised use. Genixpay will work with acquiring banks and service providers to resolve such issues. However, users acknowledge that Genixpay acts only as an intermediary and shall not be liable to refund amounts unless recovered from the counterparty. In the event of unresolved disputes between payer and payee within a 45-day window, Genixpay may, at its discretion, initiate a reversal or settlement based on available evidence and compliance obligations.

7. Intellectual Property Rights

All intellectual property including software, designs, logos, source code, trademarks, and service configurations are owned by or licensed to Genixpay. No part of the platform or service offering may be copied, reverse-engineered, modified, distributed, or otherwise exploited for commercial purposes without explicit written consent. Use of APIs and SDKs must conform to documentation guidelines and brand use policy. Any breach may result in legal action, including suspension or permanent termination of services.

8. Data Privacy and Protection

Genixpay is committed to the protection of user data in compliance with the Digital Personal Data Protection (DPDP) Act, 2023. The platform collects and processes data including identity details, transaction history, location metadata, and contact information. This data is encrypted in storage and transit and only shared with third parties under contractual obligations or legal mandates. Users retain the right to access, modify, and delete their personal data, subject to retention timelines required by law or financial regulators.

9. Service Suspension and Termination

Genixpay reserves the right to suspend or terminate access to services for any user found to be in violation of these Terms, applicable laws, or any conduct that in Genixpay’s reasonable opinion poses reputational, financial, or compliance risk. In such cases, any outstanding settlements may be withheld until a final resolution is determined. Users may also request account closure by written notice, subject to settlement of outstanding dues and data archival policies.

10. Limitation of Liability

To the extent permitted by applicable law, Genixpay shall not be liable for any indirect, incidental, consequential, punitive, or exemplary damages including loss of profits, data, goodwill, or service interruptions arising from the use or inability to use the platform. Total aggregate liability under these Terms shall be limited to the service fees paid by the user in the six months preceding the claim. This clause survives the termination or suspension of services.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the competent courts in Delhi. Users agree to attempt an amicable resolution before resorting to legal proceedings. Genixpay may provide an escalation matrix and grievance redressal mechanism to address such issues internally before legal action is initiated.

12. Notices and Communication

All notices, disclosures, and communications shall be provided electronically via the platform interface or to the registered email address of the user. Users are responsible for ensuring the accuracy of their contact details and reviewing notices. Notices shall be deemed delivered twenty-four hours after dispatch or posting.

13. Contact and Grievance Redressal

For any queries, disputes, or complaints relating to the Terms or platform usage, users may contact Genixpay’s Data Protection Officer or Grievance Officer at the official address or email provided on the website. The officer shall acknowledge the complaint within prescribed time limits and ensure its resolution in accordance with applicable law.
